Terms of service

Thank you for using our products and services ("Services"). The Services are provided by Vook, located at 83 rue de la Santé, 75013 Paris, France.

1. By using our Services, you agree to these terms, including any subsequent changes or modifications. Please read them carefully. If you do not agree to these Terms or our Privacy Policy, please do not use the vook.ai website or any of our services and products.

A. Personal Data

Personal data is any information that relates to an identified or identifiable individual. Personal data that you provide to us directly through our sites is apparent from the context in which you provide the data. In particular:

When you create a Vook account, we collect your full name, email address and account login credentials.

When you use our services, we collect your billing address. When you respond to emails or surveys from Vook, we collect your email address, name and any other information you choose to include in the body of your email or responses.

B. Information Collected

We use Google Analytics on our sites to help us analyze your use of our sites and diagnose technical problems.

2. Privacy Policy
   Vook's privacy policies explain how we handle your personal data and protect your privacy when you use our Services. By using our Services, you agree that Vook may use this data in accordance with our privacy policies.

3. Derivative Products
   Some of our Services allow you to upload, submit, store, send or receive content. You retain ownership of all intellectual property rights you own in such content. In short, what you own remains your property.

Vook does not sell, rent or share personal information or data with third parties under any circumstances.

4. Privacy and Communications
   You acknowledge and agree that Vook may occasionally send you communications regarding your account or the Service via email. There may also be direct communications from our support staff when we need to follow up or when we have questions about your files. See the Privacy Policy, which is incorporated into this Agreement by reference.

5. Accounts, Passwords and Security
   You must be a registered user to access the Service. You are responsible for maintaining the security of your password. You will be solely responsible for any and all activity that occurs under your registered account. Please contact support if you detect a breach of your account or any unauthorized use. You can also delete your account from the settings page at any time.

6. Transcription Rates
   Vook reserves the sole right to alter, modify, change, or withdraw the transcription rates offered or proposed for any or all files or as indicated on our website.

7. Acceptable Use and Conduct
   You are solely responsible for the data that is submitted to Vook in connection with the Service. You agree to indemnify, defend and hold Vook and its suppliers harmless from any and all losses, costs, liabilities and expenses arising out of or relating to your data, your use of the Service or your violation of these Terms. You agree to defend and/or settle any third party claim, action, suit or proceeding brought against Vook and its suppliers alleging that Vook's use of your data or files infringes the intellectual property rights of a third party ("IP Claim"), provided that Vook gives you (a) prompt written notice of such IP Claim, (b) sole control over the defense and settlement of such claim, and (c) cooperation in the defense of the claim. Your obligation for such IP Claim will not apply if the actual or alleged infringement results solely from an unauthorized modification, alteration or addition to your data or files.

The Software and Services are made available to you, your company and/or your customers for personal or commercial use, which use must comply with all applicable laws, rules and regulations and must not infringe or violate the rights of third parties.

Any unauthorized use of a Vook service is a violation of this agreement. Such violations may subject the unauthorized user and its agents to civil and criminal penalties.

8. Withdrawal and refund policy
   Vook will not, under any circumstances, issue a cash refund for any order. If you have a question regarding an order, please contact us immediately. If charges were billed in error, we will credit your account or credit card account for the amount that was billed in error. Vook reserves the right to suspend and/or terminate the account of a customer who disputes a credit card payment that proves to be a valid will. Any additional charges will be sent for collection. If our collection efforts are unsuccessful, unpaid debts will be reported to all available credit reporting agencies.

You have a period of fourteen (14) days from the date on which we send you an email to confirm that we accept your order. However, once we have completed and provided the services, you can no longer change your mind, even if the period is still ongoing. If you cancel after we have started the services, you must pay for the services provided up until the moment you inform us that you have changed your mind. To exercise the right of withdrawal, you must inform us of your decision to withdraw from this contract by an unequivocal statement, by contacting us by email at the address contact@vook.ai.

9. Warranties and Representations
   Vook represents and warrants that it will provide personnel with sufficient skill and knowledge to perform the service and that the service will be performed in a professional and workmanlike manner. Except for the foregoing warranty, you understand and agree that the software and service are provided on an "as is" basis and that Vook, its affiliates, suppliers and resellers expressly disclaim all warranties of any kind, beyond reimbursement in credits, including, without limitation, any warranties of merchantability, fitness for a particular purpose, non-infringement, or that your data on Vook's servers will be secure.

Vook, its affiliates, suppliers and resellers make no warranties or representations, other than refund or reconsideration, as applicable, regarding the results that may be obtained from use of the Service, the security of the Service, or that the Service will meet the requirements of any user beyond reconsideration. Use of the Service is at your sole risk. You will be solely responsible for any damages you may suffer as a result of using the Service. You assume the entire risk as to the use, security or performance of the Service.

Without limiting the foregoing, the Service is not designed or authorized for use in hazardous environments requiring fail-safe controls, including, but not limited to, the operation of nuclear facilities, aircraft navigation/communication systems, air traffic control and life support systems or weapons.

10. Limitation of liability
    In no event shall Vook be liable for any indirect, special, incidental, consequential or punitive damages (including, but not limited to, loss of use, loss of profits or loss of data), whether in an action in contract, tort (including, but not limited to, negligence), equity or otherwise, arising out of the use of, or inability to use, this site or the materials contained therein, or resulting from unauthorized access to, or alteration of, data.

11. Termination and Data Deletion
    We reserve the right to terminate or suspend your account at our discretion at any time without notice or obligation to provide a justification. You may independently delete your account at any time; please be aware that this action will result in the irreversible loss of all data associated with your account.

In compliance with legal requirements for data protection, following a period of inactivity of two years, we will proactively undertake steps to responsibly manage your information. You will receive an email communication notifying you of the impending deletion of your data, providing a thirty-day period for you to respond or interact with our services. Should there be no response or activity from your end within this timeframe, your account, along with all associated personal data, will be permanently deleted from our systems, thereby ensuring the protection of your privacy and adherence to current regulations.

We encourage you to remain engaged and maintain regular activity with our services to prevent such an outcome.

12. Terms
    We reserve the right to change these Terms of Service at any time without notice. Please review these Terms of Service from time to time as they may change in the future. We may, but are not obligated to, remove accounts and content containing what we, in good faith and on reasonable grounds, deem to be unlawful, offensive, threatening, defamatory, obscene or otherwise objectionable material. We will remove content that violates a party's intellectual property, if we have been notified of such violation, or these Terms of Service. An account terminated by Vook will not be saved for any reason and will be immediately deleted from our servers.

13. Intellectual Property
    Vook does not claim any intellectual property rights in the material or content you provide to the Service. You acknowledge that Vook owns all right, title and interest in and to the Service, including, without limitation, all intellectual property rights, and that such rights are protected by international intellectual property laws. You agree not to copy, reproduce, alter, modify or create derivative works of the Service.
